General Terms and Conditions
Article 1 – Applicability
1.1 These terms apply to all offers, orders, and agreements related to the sale and delivery of products by Logic Chemie B.V.
1.2 We do not accept any general terms from the buyer unless we've explicitly agreed to them in writing.
1.3 Any exceptions to these terms are only valid if confirmed in writing by Logic Chemie. Verbal agreements or common practices do not bind us unless we've agreed to them in writing.
Article 2 – Definitions
• Products: Chemicals, cleaning agents, detergents, disinfectants, and similar items.
• Buyer: The customer purchasing from Logic Chemie.
• Force majeure: Any situation outside our control that prevents or delays delivery—this includes supplier issues, transport disruptions, strikes, extreme weather, or government restrictions.
• Usual trading quality: A level of product quality considered average or above in the Dutch cleaning product industry.
Article 3 – Offers, Orders & Agreements
3.1 All offers on our website or in catalogs are non-binding. We may decline an order within 7 days without giving a reason.
3.2 Once an order is placed, it’s final and cannot be changed or cancelled by the buyer.
3.3 Verbal orders only count once we confirm them in writing or start delivery.
3.4 We sell products of standard industry quality. Any advice we give is only binding if it's provided in writing and paid for as a separate service.
3.5 We don’t guarantee specific outcomes based on how you use the products—even if we’ve given advice about it.
Article 4 – No Reselling Without Agreement
4.1 Products sold by Logic Chemie are for personal or internal business use only.
4.2 Resale of our products is strictly prohibited without prior written permission from Logic Chemie B.V.
4.3 Buyers may not present themselves as producers, official distributors, or representatives of Logic Chemie products without written consent.
Article 5 – Prices, Quantities & Weights
5.1 Prices are excluding VAT, duties, and shipping costs, unless otherwise stated.
5.2 If prices change before delivery due to rising costs or currency shifts, we may adjust our prices. If the increase is over 15%, you can cancel the order within 7 days of our notice.
5.3 If you order a quantity that doesn’t match our standard packaging, we may round up to the next standard amount.
Article 6 – Delivery & Delivery Time
6.1 Delivery times are indicative, not guaranteed.
6.2 Delays due to external factors or late supplier deliveries may extend delivery times.
6.3 Buyers in other EU countries must provide a valid VAT number and necessary delivery documents. If not, we may charge Dutch VAT.
Article 7 – Retention of Ownership
7.1 Products remain our property until fully paid for. If payment is overdue, we may retrieve our goods.
7.2 The buyer must store our products carefully and clearly marked as our property.
Article 8 – Complaints
8.1 Products must be inspected immediately upon delivery.
8.2 Complaints about quantity, packaging, or visible damage must be reported within 12 hours.
8.3 Complaints about quality or performance must be reported within 60 days.
8.4 The buyer must keep the products available for inspection.
8.5 Complaints are void if the deadlines above are missed.
8.6 Claims are also void if the product is altered, resold, damaged, or if the buyer breaches any agreement.
8.7 If a complaint is valid, we will either replace the product or issue a credit. Further compensation is not provided.
Article 9 – Liability
9.1 Our liability is limited to replacing or crediting the affected product.
9.2 Always follow safety instructions. We’re not liable if these are ignored.
9.3 We are not responsible for lost profits or reputational damage.
9.4 In any case, compensation is limited to the product’s invoice value or the amount covered by our insurance.
9.5 Legal claims expire 12 months after they arise.
9.6 Our employees and subcontractors are also covered by these liability terms.
9.7 The buyer indemnifies Logic Chemie against third-party claims related to the products or advice provided.
Article 10 – Payment
10.1 Payment must be made by the due date on the invoice. Late payments incur statutory interest immediately.
10.2 Non-consumer buyers also owe collection costs—10% of the outstanding amount, with a minimum of €250.
Article 11 – Cancellation & Suspension
11.1 If the buyer fails to meet obligations, becomes insolvent, or faces legal seizure, we may suspend or cancel the agreement without notice.
11.2 Non-consumer buyers may not cancel orders once placed. If cancelled, full payment is still required.
Article 12 – Disputes & Applicable Law
12.1 Disputes are handled exclusively by the court in Rotterdam, the Netherlands.
12.2 We may also choose to take legal action in another competent court.
12.3 Dutch law applies. The Vienna Convention (CISG) does not apply.
